UK technology company Cohort has closed the A$144m (£75m) acquisition of Australia-based EM Solutions, a move aimed to enhance its offerings in naval satellite communications and strengthen its operational footprint in Australasia.  

With the conclusion of the deal, EM Solutions is set to become the seventh autonomous unit within Cohort and will be managed under the Communications and Intelligence Division. 

Cohort chief executive Andy Thomis said: “The increasing security challenges in Southeast Asia and Indo Pacific mean that Australia is an important strategic region. This combined with the increasing trend toward satellite communications means there are clear growth opportunities for both EM Solutions and the broader Cohort Group. We look forward to serving EM Solutions’ customers, current and future, in the years to come.” 

EM Solutions develops microwave and mobile radio and satellite technologies, which facilitate high-speed telecommunication services globally.  

The company’s core operations revolve around the conception, assembly, examination, and maintenance of mobile satellite terminals tailored for defence and government clientele.  

Additionally, EM Solutions delivers broadband radio transceivers and a range of RF subsystems, including low-noise receivers and solid-state high-power transmitters, catering to both defence and commercial sectors.

EM Solutions joint managing director John Logan said: “EM Solutions are equally delighted to join the Cohort Group. This is an opportunity for us to collaborate with other businesses within the group to enhance our joint research and development offerings and maximise opportunities for providing our advanced satellite communications technology to more customers all over the world.” 

According to Investec, the sole financial adviser, nominated adviser, corporate broker and bookrunner to Cohort on this transaction, Cohort had successfully secured £40m through the issuance of 4,571,428 new ordinary shares in a placing that received more subscriptions than available shares.  

The UK company also intended to allocate the net proceeds from this placing towards partially covering the cash payment required for a proposed acquisition. Additionally, the company extended a retail offer that concluded at £1m. 

This move follows Cohort’s financial announcement in July 2024, which reported an 11% increase in operating profits and revenue.  

In addition, Cohort’s subsidiary under the Electronic and Information Division secured a €33m ($34.3m) contract from Nato to equip the Portuguese Army with a tactical deployable communication and information system (TDCIS).
